("SingleFlow")("Company", "we", "our", "us")! As you have clicked on our Terms of Service, please read the following pages carefully.

These Terms of Service("Terms", "Terms of Service") govern your use of our web pages located at https://singleflow.ai/ operated by SingleFlow Inc.

Your agreement with us includes these these Terms of Service and our Privacy Policy ("Agreements").
You acknowledge that you have read and understood Agreements, and agree to be bound by them.

By signing up on SingleFlow, you agree to be bound by all provisions of these Terms.

Each of SingleFlow ("us", "we") and you may be referred to herein individually as a "Party" or collectively as the "Parties."

1. ACCESS TO THE SERVICE

1.1 General.

These Terms of Service govern your access to and use of the Service, including the billing based on your usage of the Service. By using the Service, you agree to these Terms of Service in their entirety.

1.2 Changes to Terms of Service.

SingleFlow reserves the right, at its sole discretion, to change or modify portions of these Terms of Service at any time. Any changes will be posted on this page along with the date of the latest revision, and material changes may also be communicated via a pop-up notice or email. Your continued use of the Service after such changes become effective constitutes your acceptance of the updated Terms. If you do not agree with any changes, you should discontinue your use of the Service.

1.3 Access Grant.

Subject to these Terms, SingleFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business or personal operations.

1.4 Restrictions and Responsibilities.

You agree not to provide access to the Service except to those employees, contractors, or consultants who require access for managing your operations.

You are responsible for the actions of all authorized users.

You must not:

  • Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying structure of the Service;
  • Modify, translate, or create derivative works based on the Service;
  • Use the Service for timesharing, service bureau purposes, or for the benefit of third parties (unless such third parties are your authorized users);
  • Remove or alter any proprietary notices.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. SingleFlow reserves the right to suspend access if these Terms are breached.

1.5 License to Customer Data.

You grant SingleFlow a non-exclusive, royalty-free, fully paid-up license to use, copy, distribute, display, and create derivative works of any data or information ("Customer Data") you upload, input, or otherwise provide on or through the Service.

This license is solely for the purposes of:

  • Providing the Service and performing our obligations under these Terms of Service;
  • Improving and developing our products and services, including training and enhancing our Al models and algorithms;
  • Creating aggregated and/or anonymized data ("Aggregated Data"). Aggregated Data is not considered Customer Data.
  • Importantly, raw Customer Data will not be shared with third parties without your explicit consent.

1.6 Feedback.

You may occasionally provide suggestions or feedback ("Feedback") regarding the Service. By providing Feedback, you grant SingleFlow a royalty-free, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use, copy, distribute, and create derivative works from such Feedback. You acknowledge that Feedback is not Confidential Information.

1.7 Evaluation Services.

If applicable, SingleFlow may offer Evaluation Services (such as pilot or trial periods) under separate terms. In such cases, the terms specific to the Evaluation Services will govern your use during that period.

1.8 Third Party Services.

The Service may integrate with or provide access to third-party services (for example, email, chat, SMS, WhatsApp, and voice platforms). Use of such Third-Party Services is subject to the terms and conditions imposed by the respective providers. SingleFlow is not responsible for the performance, security, or privacy practices of any third-party services.

2. OWNERSHIP; RESERVATION OF RIGHTS

SingleFlow retains all right, title, and interest in and to the Service and all associated intellectual property. You retain all right, title, and interest in and to your Customer Data. Nothing in these Terms of Use grants you any rights in or to the intellectual property of SingleFlow except for the limited access rights expressly provided.

3. FEES; PAYMENT TERMS

3.1 Usage Charges.

You agree to pay for your use of the Service based on our usage pricing policy, as detailed on our website and updated from time to time. Your usage of the Service will be monitored and billed accordingly.

3.2 Payment Terms.

All payment obligations are non-cancellable, and fees paid are non-refundable. In the event of past-due amounts, a late fee of 1.5% per month (or the maximum permitted by law) may be applied until the balance is paid.

3.3 Taxes.

All fees are exclusive of applicable taxes. You are responsible for paying any sales, use, or other taxes imposed on your usage, except for taxes based on SingleFlow's income.

4. TERM; TERMINATION

4.1 Term; Termination.

These Terms of Service remain effective as long as you maintain an active account with us. Either Party may terminate these Terms by providing written notice if the other Party breaches any material obligation and fails to cure such breach within thirty (30) days of receiving notice.

4.2 Effect of Termination.

Upon termination, your right to access the Service immediately terminates, and you must cease all use. You remain liable for any outstanding fees or obligations incurred prior to termination.

4.3 Survival.

Sections regarding restrictions, data licensing, confidentiality, payment, termination, warranties, liability limitations, indemnification, and general provisions will survive termination of these Terms of Use.

5. CONFIDENTIALITY

5.1 Definition.

"Confidential Information" means any information disclosed by one Party to the other that is marked as confidential or identified as confidential in writing at the time of disclosure. This includes, but is not limited to, business plans, technology, Customer Data, and proprietary information.

5.2 Exceptions.

Confidential Information does not include information that (a) was known prior to disclosure, (b) becomes publicly available without breach of these Terms, or (c) is independently developed by the recipient.

5.3 Use and Disclosure.

You agree to use Confidential Information solely to perform your obligations under these Terms and not to disclose it to any third party, except to your employees or professional advisors who require such access and are bound by confidentiality obligations.

5.4 Disclosures Required by Law.

If required by law to disclose any Confidential Information, you must provide prompt notice to SingleFlow Inc. so that we may seek protective measures.

6. REPRESENTATIONS, WARRANTIES, AND DISCLAIMERS

6.1 Mutual Representations and Warranties.

Each Party represents that it has the authority to enter into these Terms of Service and that the execution and performance do not conflict with any other agreement.

6.2 Your Representations and Warranties.

You represent that you have the legal authority to provide the Customer Data to SingleFlow and that such provision does not breach any third-party agreements or applicable laws.

6.3 Disclaimers.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SingleFlow does not warrant that the Service will be error-free, secure, or uninterrupted.

6.4 Use of Al Technology.

The Service integrates advanced Al technologies that enable you to build and deploy multi-agent automations across various communication channels.

You acknowledge that:

  • Al-generated outputs (the "Outputs") may be shared with other users and may not be unique;
  • The Al technology is based on predefined algorithms and may occasionally produce biased, offensive, or inaccurate outputs;
  • and You should exercise independent judgment when relying on Al-generated Outputs.

SingleFlow is not liable for any actions or decisions taken based on these Outputs.

7. PROHIBITED USES

You may use the Service only for lawful purposes and in compliance with these Terms of Service. You agree not to use the Service:

7.1 Unlawful or Harmful Activities

  • In any way that violates applicable national or international laws or regulations.
  • To exploit, harm, or attempt to harm minors, including exposing them to inappropriate content.
  • To engage in fraudulent, misleading, illegal, or otherwise harmful activities.

7.2 Unauthorized Communications & Impersonation

  • To send unsolicited advertising, promotional materials, spam, junk mail, chain letters, or similar solicitations.
  • To impersonate or attempt to impersonate SingleFlow, its employees, another user, or any other entity.

7.3 Interference with Service Operations

  • To take any action that could disable, overburden, or disrupt the proper functioning of the Service.
  • To use bots, spiders, or other automated means to access, monitor, or copy content without prior written consent.
  • To introduce malware, viruses, trojans, or any other harmful software.
  • To attempt unauthorized access to any part of the Service, including servers, databases, or other infrastructure.
  • To conduct denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.

7.4 Misuse & Harm to Reputation

  • To engage in any conduct that restricts or inhibits another user's enjoyment of the Service.
  • To take any action that may harm SingleFlow's reputation, manipulate ratings, or misrepresent the Service.
  • To attempt to interfere with or manipulate Service operations, data integrity, or security.

SingleFlow reserves the right to suspend or terminate accounts that violate these provisions without prior notice.

8. LIMITATIONS OF LIABILITY

8.1 Disclaimer of Consequential Damages.

EXCEPT FOR DAMAGES ARISING FROM BREACHES OF THE RESTRICTIONS OR CONFIDENTIALITY PROVISIONS, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR REVENUE.

8.2 General Cap on Liability.

Except as provided for breaches of confidentiality, restrictions on use, indemnification obligations, or payment obligations, each Party's aggregate liability under these Terms shall not exceed the fees paid by you to SingleFlow in the twelve (12) months preceding the claim.

8.3 Independent Allocation of Risk.

The limitations and disclaimers herein are independent and are intended to allocate risk between the Parties.

9. INDEMNIFICATION

9.1 Indemnification by SingleFlow.

SingleFlow will indemnify you against third-party claims arising from allegations that the Service infringes on intellectual property rights, provided such claims are not due to modifications made by you or improper use of the Service.

9.2 Indemnification by You.

You agree to indemnify, defend, and hold harmless SingleFlow and its officers, directors, and employees from any third-party claims arising out of or related to:

  • Your use of the Service in violation of these Terms;
  • The Customer Data provided by you; or
  • Your violation of any third-party terms related to integrated services.

9.3 Indemnification Procedure.

The indemnified Party must promptly notify the indemnifying Party of any claim. The indemnifying Party will control the defence and any settlement, provided no settlement imposes obligations on the indemnified Party without their prior consent.

10. GOVERNMENT MATTERS

You agree not to export or re-export any portion of the Service in violation of applicable export laws and regulations. Use by governmental agencies shall be governed solely by these Terms of Service.

11. GENERAL

11.1 Force Majeure.

Neither Party shall be liable for delays or failures in performance due to causes beyond its reasonable control (including natural disasters, acts of government, or other events of force majeure).

11.2 Severability.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

11.3 Relationship of the Parties.

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between the Parties.

11.4 Remedies.

A breach of the confidentiality obligations may cause irreparable harm, and the non-breaching Party may seek injunctive relief in addition to any other available remedies.

11.5 Governing Law; Consent to Jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Each Party irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any disputes arising out of these Terms.

11.6 Assignment; Binding Effect.

Neither Party may assign or transfer these Terms without the prior written consent of the other, except in connection with a merger or sale of substantially all of its assets.

11.7 Notices.

All notices under these Terms must be in writing and sent to the contact information provided upon account registration or subsequently updated by either Party. Notices are deemed delivered in accordance with the agreed terms.

11.8 No Waiver.

Failure to enforce any provision of these Terms shall not constitute a waiver of any future enforcement of that or any other provision.

12. Acknowledgement

BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
